1. Acceptance of Terms

By accessing or using Xora ("Service", "Platform", "Website"), operated by Leibow Ventures UG (haftungsbeschränkt), Amsterdamer Str. 13, 13347 Berlin, Germany, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Service.

These Terms constitute a legally binding agreement between you ("User", "you", "your") and Leibow Ventures UG. By creating an account or using the Service, you acknowledge that you have read, understood, and agree to these Terms, as well as our Privacy Policy.

2. Service Description

Xora is an AI-powered content generation platform that provides tools and resources for creating social media content, specifically for X (formerly Twitter). Our Service includes:

• AI-generated tweet suggestions based on real-time context from various sources
• Access to 10,000+ unique AI personas with different writing styles and perspectives
• Personalized content generation based on user-provided topics
• Integration with X (Twitter) for easy content posting
• Credit-based system for premium content generation

3. User Accounts

3.1 Account Creation

To access certain features of the Service, you must create an account using one of the following methods:

• Google OAuth: Sign in with your Google account
• X OAuth: Sign in with your X (Twitter) account
• Email/Password: Create an account with email and password

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must:

• Choose a strong password (minimum 8 characters, including uppercase, lowercase, number, and special character)
• Keep your login credentials secure and not share them with others
• Notify us immediately of any unauthorized access or security breach
• Accept responsibility for all activities conducted through your account

3.3 Email Verification

Users who sign up via email/password must verify their email address before using credits. This verification helps prevent fraud and ensures account security.

3.4 Account Eligibility

You must be at least 18 years old to create an account. By creating an account, you represent and warrant that you meet this age requirement.

4. Credits and Payments

4.1 Credit System

Xora operates on a credit-based system where:

• 1 credit = 1 AI-generated tweet = $0.01 USD
• New users receive 100 free credits upon account creation
• Personalized content generation costs 10 credits (generates 10 unique perspectives)
• Credits are consumed upon successful generation of content

4.2 Credit Packages

Users can purchase additional credits in the following packages:

• 100 Credits - $1.00 USD
• 500 Credits - $5.00 USD
• 1000 Credits - $10.00 USD

4.3 Payment Processing

All payments are processed securely through Stripe. We do not store your credit card information. By making a purchase, you agree to Stripe's Terms of Service and Privacy Policy.

4.4 Credit Validity and Refunds

Important:

• Credits never expire and remain valid indefinitely
• Credits are non-refundable once purchased
• Credits are non-transferable between accounts

4.5 Pricing Changes

We reserve the right to modify credit pricing at any time. Changes will be communicated via email and on the platform. Purchased credits will remain valid at their original value regardless of future pricing changes.

5. Content Ownership and Usage

5.1 User-Generated Content

You retain full ownership of any content you create, modify, or post using our Service. By using Xora, you grant us a non-exclusive, royalty-free, worldwide license to:

• Store and process your content for service operation
• Display your content within the platform (if applicable)
• Use anonymized, aggregated data for analytics and service improvement

5.2 AI-Generated Content

All AI-generated content provided by Xora is licensed to you for personal or commercial use. However:

• You are solely responsible for reviewing and editing AI-generated content before posting
• We do not guarantee the accuracy, completeness, or appropriateness of AI-generated content
• You agree not to post content that violates third-party rights or applicable laws
• AI-generated content is provided "as-is" without warranties of any kind

5.3 Platform Content

All content on the Xora platform, including but not limited to design, text, graphics, logos, and software, is owned by Leibow Ventures UG and protected by copyright and other intellectual property laws.

6. Prohibited Uses

You agree NOT to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights of others
• Post harmful, offensive, or illegal content
• Engage in spam, phishing, or other malicious activities
• Attempt to reverse-engineer, decompile, or hack the platform
• Use automated tools (bots) to abuse the Service
• Resell or redistribute AI-generated content as a competing service
• Manipulate or circumvent the credit system
• Impersonate others or misrepresent your affiliation

7. Account Termination and Deletion

7.1 User-Initiated Deletion

You may delete your account at any time through the Settings page. Upon deletion:

• All personally identifiable information (PII) will be permanently removed
• Your email, password, OAuth tokens, and profile information will be deleted
• Generated tweets and credit transactions may be retained in anonymized form for analytics purposes
• Unused credits are forfeited and non-refundable
• Account deletion is permanent and irreversible

7.2 Service-Initiated Termination

We reserve the right to suspend or terminate your account if:

• You violate these Terms of Service
• You engage in fraudulent or abusive behavior
• Your account poses a security risk to the platform or other users
• Required by law or legal proceedings

In case of termination for violation, no refunds will be provided for unused credits.

8. Data Privacy and GDPR Compliance

We are committed to protecting your privacy in accordance with the General Data Protection Regulation (GDPR) and other applicable data protection laws. Please review our Privacy Policy for detailed information about:

• What data we collect and why
• How we use and protect your data
• Your rights under GDPR (access, rectification, erasure, portability)
• Cookie usage and consent management
• Third-party integrations (Google Analytics, Amplitude, Stripe)

9. Limitation of Liability

9.1 Service Availability

We strive to provide uninterrupted service but do not guarantee 100% uptime. The Service is provided "as-is" and "as available" without warranties of any kind.

9.2 Liability Cap

To the maximum extent permitted by law, Leibow Ventures UG shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Damages arising from use or inability to use the Service
• Damages resulting from AI-generated content
• Third-party services or integrations (X, Google, Stripe)

In any case, our total liability shall not exceed the amount you paid to Xora in the 12 months preceding the claim, or €100 (whichever is greater).

9.3 Indemnification

You agree to indemnify and hold harmless Leibow Ventures UG, its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of third-party rights
• Content you post or share using the Service

10. Third-Party Services and Integrations

Xora integrates with third-party services including:

• X (Twitter): For OAuth authentication and content posting
• Google: For OAuth authentication and search APIs
• Stripe: For payment processing
• Groq: For AI content generation
• Resend: For transactional emails

We are not responsible for the availability, functionality, or policies of these third-party services. Your use of these integrations is subject to their respective Terms of Service and Privacy Policies.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes:

• We will update the "Last Updated" date at the top of this page
• We will notify users via email (for significant changes)
• Continued use of the Service after changes constitutes acceptance of the new Terms

If you do not agree to the modified Terms, you must stop using the Service and may delete your account.

12. Dispute Resolution and Governing Law

12.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to its conflict of law provisions.

12.2 Jurisdiction

Any disputes arising from these Terms or the use of the Service shall be resolved in the courts of Berlin, Germany. For consumers within the European Union, you may also bring proceedings in the courts of your country of residence.

12.3 Alternative Dispute Resolution

European consumers have the right to use the European Commission's Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr

13. Miscellaneous

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Leibow Ventures UG regarding the use of the Service.

13.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

13.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms at any time without notice.
